These Terms of Use (“Terms”) govern your access to and use of the website located at https://www.jointhehub.com and any related pages, content, materials, forms, communications, and services made available by Global Kiwi Labs, Inc., a Delaware corporation doing business as The Hub / TheHUB (“TheHUB,” “Company,” “we,” “us,” or “our”).
By accessing or using the Site, submitting information through the Site, applying to join TheHUB, or subscribing to our communications, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Site.



1. About TheHUB
TheHUB is a selective group of innovators, blockchain architects, infrastructure providers, rollups, validators, service providers, and strategic partners collaborating around decentralized financial infrastructure, validator operations, multi-local consensus, ecosystem coordination, and related digital-asset infrastructure initiatives.
The Site provides general information about TheHUB, its participants, and related initiatives. The Site is informational in nature. Nothing on the Site constitutes an offer to sell, a solicitation of an offer to buy, or a recommendation regarding any digital asset, token, security, financial product, investment, validator service, staking arrangement, or other regulated product or service.
TheHUB does not, through the Site, custody user funds, execute trades, provide exchange services, provide brokerage services, provide banking services, provide investment advisory services, provide legal, tax, accounting, or financial advice, or make any recommendation regarding any digital asset, protocol, validator, project, or transaction.
2. Elegibility

By accessing or using the Site, you represent and warrant that:

(a) you are at least eighteen (18) years of age or the age of legal majority in your jurisdiction, whichever is greater;

(b) you have the full legal capacity and authority to agree to these Terms;

(c) your access to and use of the Site complies with all laws, rules, and regulations applicable to you;

(d) you are not located in, organized under the laws of, or ordinarily resident in any jurisdiction subject to comprehensive sanctions or where access to the Site would be unlawful; and

(e) you are not a person or entity with whom we are prohibited from dealing under applicable sanctions, export-control, anti-money-laundering, anti-bribery, or anti-terrorism laws.
Participation in TheHUB as a blockchain, rollup, validator, infrastructure provider, service provider, partner, or member is subject to separate eligibility criteria, review, approval, and written agreement. Nothing on the Site constitutes an offer of membership, admission, partnership, investment opportunity, or commercial relationship.
3. Acceptance and Changes to Terms
We may update or modify these Terms from time to time. Updated Terms will be posted on the Site with a revised “Last Updated” date. Your continued use of the Site after any changes become effective constitutes your acceptance of the updated Terms. If you do not agree to the revised Terms, you must stop using the Site.
4. Permitted Use
Subject to your ongoing compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Site solely for your personal or internal business informational purposes.

You may not use the Site for any unlawful, fraudulent, misleading, infringing, abusive, disruptive, or unauthorized purpose.
5. Join Forms, Applications, and Communications
The Site may allow you to submit information to TheHUB, including through a “Join TheHUB” form, contact form, newsletter subscription, or similar communication channel.

By submitting information through the Site, you represent and warrant that the information you provide is accurate, current, complete, and submitted by you or with proper authorization. Submission of a form does not guarantee admission, membership, approval, response, partnership, allocation, access to any protocol, participation in any initiative, or any business relationship with TheHUB.

We may use information submitted through the Site to evaluate applications, respond to inquiries, communicate with you, coordinate potential strategic relationships, send administrative messages, and, where you have consented or where otherwise permitted by law, send newsletters or other marketing communications.
6. Prohibited Conduct
You agree not to, and not to allow any third party to:

(a) use the Site in any manner that violates applicable law, regulation, sanctions restrictions, export-control restrictions, or these Terms;

(b) use the Site to engage in fraudulent, deceptive, misleading, manipulative, or unlawful activity;

(c) attempt to obtain unauthorized access to the Site, our systems, servers, accounts, networks, data, or any systems or networks connected to the Site;

(d) interfere with, disrupt, disable, overburden, damage, or impair the Site or any other party’s use of the Site;

(e) introduce viruses, worms, malware, ransomware, spyware, corrupted files, or other harmful code;

(f) reverse engineer, decompile, disassemble, or otherwise attempt to derive source code, architecture, algorithms, or underlying ideas from any portion of the Site;

(g) use bots, scrapers, crawlers, spiders, data-mining tools, automated queries, or similar tools to access, monitor, copy, scrape, or extract data from the Site, except as expressly permitted by our robots.txt file or by written authorization from us;

(h) impersonate any person or entity or misrepresent your affiliation with any person or entity;

(i) harvest, collect, or process personal information about other users without authorization;

(j) upload, transmit, or submit any content that infringes, misappropriates, or violates the rights of any third party;

(k) use TheHUB’s name, trademarks, logos, branding, trade dress, or partner references without prior written authorization; or

(l) use the Site in a manner that could expose TheHUB, its affiliates, participants, partners, or service providers to legal, regulatory, reputational, operational, or security risk.
7. Intellectual Property
The Site and all content, features, and functionality on or made available through the Site, including text, graphics, logos, icons, images, audio, video, animations, designs, layouts, data compilations, software, source code, object code, user interface elements, look and feel, trade dress, and underlying technology, are owned by TheHUB, its affiliates, licensors, service providers, or partners and are protected by copyright, trademark, trade secret, trade dress, and other intellectual property laws.

“TheHUB,” “The Hub,” associated logos, names, and marks displayed on the Site are trademarks or service marks of Global Kiwi Labs, Inc. or its licensors. Any other trademarks, service marks, trade names, logos, project names, protocol names, or partner names that appear on the Site are the property of their respective owners. Nothing in these Terms grants you any license or right to use any trademark, service mark, trade name, logo, or branding without the prior written consent of the owner.

Except as expressly permitted by these Terms or by our written consent, you may not copy, reproduce, distribute, modify, adapt, translate, create derivative works of, publicly display, publicly perform, republish, download, store, scrape, transmit, sell, license, or otherwise exploit any material from the Site.
8. User-Submitted Content
If you submit, upload, transmit, or otherwise provide information, materials, feedback, suggestions, application materials, messages, project descriptions, technical information, documents, links, references, or other content to TheHUB through the Site or related communication channels (“User Content”), you grant TheHUB a non-exclusive, worldwide, royalty-free, fully paid, transferable, sublicensable license to use, reproduce, host, store, copy, modify, adapt, publish, translate, distribute, display, analyze, and process such User Content for any lawful business purpose related to operating, evaluating, improving,
promoting, or developing TheHUB, the Site, and TheHUB’s business, programs, partnerships, and ecosystem.

You represent and warrant that you own or have all rights necessary to submit the User Content and grant the rights described above, and that your User Content does not violate applicable law, infringe any third-party rights, misappropriate any third-party confidential information or trade secrets, or contain unlawful, misleading, defamatory, or harmful material.

You should not submit confidential, proprietary, sensitive, or regulated information unless you are authorized to do so and understand that submission through the Site does not, by itself, create a confidential, fiduciary, advisory, partnership, joint venture, or other special relationship.
9. Third-Party Content, Partners, and Links
The Site may reference, display, or link to third-party websites, applications, protocols, blockchains, validators, rollups, infrastructure providers, social-media platforms, messaging platforms, analytics tools, service providers, participants, partners, products, or services (“Third-Party Services”).

TheHUB does not control and is not responsible for any Third-Party Services, including their content, accuracy, availability, functionality, security, privacy practices, terms, policies, products, or services. References to, descriptions of, or links to third parties do not constitute an endorsement, recommendation, sponsorship, approval, joint venture, agency relationship, or guarantee by TheHUB.

Your interactions with Third-Party Services are solely between you and the applicable third party and are governed by that third party’s terms and policies. You access Third-Party Services at your own risk.
10. No Financial, Legal, Tax, or Investment Advice
The Site is provided for general informational purposes only. Nothing on the Site constitutes financial, investment, legal, accounting, tax, regulatory, technical, cybersecurity, staking, validator, or other professional advice.
You should not act, or refrain from acting, based on any Site content without obtaining independent professional advice appropriate to your circumstances.
Digital assets, decentralized finance, blockchain technology, validator operations, staking, smart contracts, bridges, rollups, and related infrastructure involve significant risks, including regulatory risk, cybersecurity risk, slashing risk, smart-contract risk, governance risk, liquidity risk, market risk, operational risk, technology risk, and the risk of partial or total loss. Past performance is not indicative of future results.

THEHUB EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, RELIABILITY, AVAILABILITY, SECURITY, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.
THEHUB DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, FREE OF HARMFUL COMPONENTS, OR THAT DEFECTS WILL BE CORRECTED. THEHUB MAKES NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY, COMPLETENESS, RELIABILITY, TIMELINESS, OR USEFULNESS OF ANY CONTENT ON THE SITE OR ANY THIRD-PARTY CONTENT, SERVICES, PROTOCOLS, NETWORKS, OR LINKS REFERENCED ON THE SITE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL THEHUB, GLOBAL KIWI LABS, INC., OR THEIR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, REPRESENTATIVES, PARTICIPANTS, PARTNERS, SERVICE PROVIDERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, ENHANCED, OR PUNITIVE DAMAGES, INCLUDING DAMAGES FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS OPPORTUNITIES, LOST DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, COMPUTER DAMAGE, SYSTEM FAILURE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SITE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF THEHUB, GLOBAL KIWI LABS, INC., AND THEIR AFFILIATES ARISING OUT OF OR RELATED TO THESE TERMS OR THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100).
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
15. Indemnification
You agree to defend, indemnify, and hold harmless TheHUB, Global Kiwi Labs, Inc., and their affiliates, officers, directors, employees, contractors, agents, representatives, participants, partners, service providers, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees, including reasonable attorneys’ fees, arising out of or related to:

(a) your access to or use of the Site;

(b) your breach of these Terms;

(c) your violation of applicable law or the rights of any third party;

(d) your User Content;

(e) your interaction with any Third-Party Service; or

(f) any misrepresentation made by you in connection with the Site or any application to participate in TheHUB.
16. Suspension and Termination
We may suspend, restrict, or terminate your access to the Site at any time, with or without notice, for any reason, including if we believe you have violated these Terms, created risk for TheHUB or others, or engaged in unlawful, fraudulent, abusive, or harmful conduct.

All provisions of these Terms that by their nature should survive termination will survive, including provisions concerning intellectual property, User Content, disclaimers, limitation of liability, indemnification, governing law, dispute resolution, and miscellaneous terms.
17. Governing Law and Dispute Resolution
These Terms and any dispute arising out of or related to these Terms, the Site, or your use of the Site are governed by the laws of the State of New York, without regard to its conflict-of-laws principles.

Subject to any mandatory law to the contrary, the state and federal courts located in New York County, New York will have exclusive jurisdiction over any dispute arising out of or related to these Terms, the Site, or your use of the Site, and you consent to personal jurisdiction and venue in such courts.
18. International Use
The Site is controlled and operated from the United States. We make no representation that the Site is appropriate or available for use in any particular jurisdiction. If you access the Site from outside the United States, you do so on your own initiative and are responsible for compliance with all applicable local laws
19. Miscellaneous
These Terms, together with any policies referenced herein, including the Privacy Policy and Cookie Policy, constitute the entire agreement between you and TheHUB regarding the Site and supersede all prior or contemporaneous agreements or understandings regarding the Site.

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any provision of these Terms will not constitute a waiver. You may not assign these Terms without our prior written consent. We may assign these Terms freely, including in connection with a merger, acquisition, financing, reorganization, sale of assets, or other corporate transaction.
